Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") are a binding contract between Karigor AI Technologies, and you ("Customer"). By accessing our Services, you agree to these Terms. By accessing or using products and services of Karigor AI Technologies, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the products and services of Karigor AI Technologies.

2. Nature of Services

Karigor AI provides a software platform integrating Artificial Intelligence, email processing, and messaging automation.

Status of Service: You acknowledge that Karigor AI Technologies is an IT-enabled Software Service and not a Telecommunication or Value Added Service (VAS) provider under the Bangladesh Telecommunication Regulation Act, 2001. We do not provide connectivity or carriage services.

3. User Obligations and Conduct

You agree to use the Services in compliance with all applicable laws, including the Cyber Security Act 2023.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use of the Service complies with applicable laws
  • Verifying the accuracy of AI-generated outputs before use

Prohibited Content: You shall not generate, transmit, or store content that is:

  • Defamatory, offensive, or hurts religious sentiments (per Section 28 of CSA 2023)
  • Propaganda against the liberation war or spirit of the nation (per Section 21 of CSA 2023)

Messenger & WhatsApp Consent Warranty: You represent and warrant that you have obtained explicit, opt-in consent from all recipients of Messenger & WhatsApp messages as required by the Meta Business Messaging Policy. You agree to indemnify Karigor AI for any penalties or bans imposed by Messenger & WhatsApp resulting from your failure to secure such consent.

4. Artificial Intelligence and Hallucinations

Disclaimer: The Services utilize generative AI models which may produce "hallucinations" (factually incorrect or non-existent information). Karigor AI makes no warranties regarding the accuracy, veracity, or legality of AI-generated Output.

Human-in-the-Loop: You agree to review all AI Output via a human agent prior to publication or dissemination. You assume sole liability for any actions taken based on AI Output.

5. Google API "Limited Use" Compliance

Your use of features integrating with Google Authentication is subject to the following strictures mandated by the Google API Services User Data Policy:

You acknowledge that data retrieved from Google APIs is processed solely to provide the specific features of the Karigor AI platform.

Karigor AI does not use this data to train generalized AI models, serve advertisements, or for credit-scoring purposes.

6. Fees, Payment, and Refunds

Payment Terms: Fees are payable in advance via our authorized payment gateways (e.g., SSLCommerz, bKash, Bank, etc).

Refund Policy: All sales are final and no refunds are provided. Our services depend on third-party subscriptions, and as such, payments are non-refundable under any circumstances.

7. Data Preservation and Law Enforcement

Legal Hold: You acknowledge that Karigor AI is subject to the laws of Bangladesh. We may be required to preserve or disclose your Customer Data, without prior notice to you, if compelled by a valid order from the Cyber Tribunal, Police, or BTRC under Section 42 of the Cyber Security Act 2023.

8. Limitation of Liability

Karigor AI is an assistive tool. The Customer acknowledges that AI may generate incorrect information. The Customer agrees to verify critical outputs. We are not liable for lost sales or incorrect pricing generated by the AI.

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) Karigor AI SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA. (B) Karigor AI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THIS AGREEMENT SHALL BE LIMITED TO THE TOTAL AMOUNT OF FEES PAID BY CUSTOMER TO Karigor AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Karigor AI against any third-party claims arising from: (i) your violation of the CSA 2023; (ii) your violation of Meta/Google policies; or (iii) your use of AI Output that infringes on third-party rights or constitutes defamation.

10. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Karigor AI Technologies and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of the Service without our prior written consent.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Changes to Terms

We may update this Terms of Service from time to time. We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last updated" date. You are advised to review this Terms of Service periodically for any changes. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
